These Terms of Service (“Terms”) govern your use of the cardupkeep.ca platform (“Platform”), operated by PCCool. By creating a store, listing items, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any updates we post.

1. Acceptance of Terms Your use of the Platform constitutes acceptance of these Terms. We may update them from time to time; continued use after changes constitutes acceptance. Significant updates will be notified via email or in-platform notice.

2. Eligibility You must be at least 18 years old (or have legal guardian consent) and capable of entering binding contracts. You may only maintain one account unless we approve otherwise.

3. Seller Obligations You are solely responsible for:

• Ensuring all listed items are authentic, legally owned by you or authorized for resale, and accurately described (including condition, grading, set, alterations, proxies, or any defects).
• Complying with all applicable laws, including tax obligations, export controls, and intellectual property rights.
• Fulfilling orders, handling shipping, customer service, refunds, and disputes with buyers.
• Maintaining accurate inventory and pricing through the tools provided.

4. Prohibited Conduct You may not:

• List counterfeit, stolen, illegal, or unauthorized items.
• Infringe third-party intellectual property rights (e.g., unauthorized use of trademarks, logos, or artwork from Wizards of the Coast, The Pokémon Company, or others).
• Misrepresent items or engage in fraudulent activity.
• Use the Platform for any unlawful purpose.

5. Platform as Venue The Platform is a neutral venue for sellers and buyers. We do not:

• Participate in, endorse, or guarantee any transactions.
• Hold funds or act as an escrow service.
• Assume liability for the quality, safety, legality, or delivery of listed items.

6. Payments & Fees

• All payments are processed directly through your connected Stripe or Shopify account.
• We may charge platform fees or commissions as disclosed in your tier or dashboard.
• You are responsible for any chargebacks, refunds, or disputes arising from your sales.

7. Intellectual Property You grant us a limited, non-exclusive license to display your listings and store content on the Platform. We respect IP rights and may remove content or terminate accounts upon valid infringement notices.

8. Suspension & Termination We may suspend or terminate your account at any time for violations of these Terms, suspected fraud, legal requirements, or in our sole discretion. Upon termination, your access ends, but obligations (e.g., taxes, disputes) survive.

9. Limitation of Liability The Platform is provided “as is” without warranties. To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the fees you paid us in the preceding 12 months (or $100 CAD, whichever is greater).

10. Governing Law These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved exclusively in the courts of Ontario.
